These Terms & Conditions ("Terms") govern your use of the ApexFlows Studio website and any consulting, automation, or implementation services we provide. By accessing the website or engaging our services, you agree to these Terms.

2. Description of Services

ApexFlows Studio provides AI automation and workflow consulting, including business process automation, CRM integrations, lead capture and follow-up automation, internal reporting, proposal automation, and lightweight custom backend integrations.

3. No Guarantee of Results

We do not guarantee specific outcomes, including increases in revenue, leads, or efficiency. Results depend on your internal systems, data quality, team adoption, and ongoing use of the automations we implement.

4. Client Responsibilities

• Provide accurate and complete information.
• Maintain access to required systems and accounts.
• Ensure your team uses automations responsibly and in compliance with applicable laws.
• Respond in a timely manner to requests and approvals.

5. Third-Party Tools Disclaimer

Our services often rely on third-party tools and platforms such as Make.com, Zapier, Twilio, CRMs, and external APIs. We are not responsible for outages, errors, data loss, pricing changes, or performance issues caused by these third-party services.

6. Limitation of Liability

To the maximum extent permitted by law, ApexFlows Studio is not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, missed leads, business interruption, or data issues arising from your use of our services or third-party systems. Our total liability for any claim will not exceed the fees paid for the specific services giving rise to the claim.

7. Indemnification

You agree to indemnify and hold ApexFlows Studio harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the services, your data, or your breach of these Terms.

8. Payment Terms

Payments are due upfront or according to agreed milestone schedules. Unless explicitly stated otherwise in writing, all fees are non-refundable once work has started.

9. Intellectual Property

Unless otherwise agreed in writing, you own the final workflows and deliverables created specifically for your engagement. ApexFlows Studio retains ownership of pre-existing materials, templates, know-how, and general methods used to produce the deliverables.

10. Confidentiality

We will treat non-public business information shared during the engagement as confidential and use it solely to deliver the agreed services, except as required by law or with your consent.

11. Termination

Either party may terminate an engagement with written notice. You remain responsible for fees incurred up to the termination date. We may suspend or terminate services if you breach these Terms or fail to meet payment obligations.

12. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.
